§1
- The POL&NILE (www.polandnile.pl) platform is an online service created for cooperation and handling of business processes between Poland and Egypt.
- The Website is intended only for Adult Users conducting business activity in both countries, who, by registering, can place their own advertisement, order, offer to buy or sell products or services.
- The Website is run by a business entity with an abbreviated name: POL&NILE registered in Polish with its registered office in Katowice, NIP: 2220861834, REGON: 241125367.
- POL&NILE is not a party to agreements concluded between registered Users, does not act for any of the parties to the agreement and is not responsible for the actions of any of the parties to the agreement.
- The Website is not a platform on or through which agreements between registered Users are concluded.
- Access to sales announcements and purchase orders for products and services posted on the Website is publicly available and free of charge for the first 3 months from 01.01.2025.
- POL&NILE also provides services, the detailed scope of which can be found in the POL&NILE Website tab, with the price list for their provision being subject to individual arrangements, the use of these services by the User each time requires the acceptance of these Terms and Conditions and the conclusion of an agreement between the parties, taking into account §4 section 12.
§2
- These Terms and Conditions are a standard contract within the meaning of Article 384 §1 of the Civil Code. The content of the Terms and Conditions is posted on the Website.
- The Terms and Conditions must be accepted during registration on the Website.
§3
The www.polandnile.pl Website operates on the basis of the applicable laws in the Republic of Poland and in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC.
§4
- Registration in the Service is free of charge for the period of the first 3 months from the date of launching the Service for all Users.
- Registration of an entity, taking into account §1 point 2, must be directly related to its business or professional activity.
- In order to register and activate the account, it is necessary to accept these Terms and Conditions.
- User registration takes place by filling in the registration form available in the Website tab: Log in or Register.
- By registering, the User undertakes to provide true data, consistent with the current legal and factual status.
- Registration to the Website www.polandnile.pl subject to verification procedures carried out by POL&NILE or its authorized external security service provider.
- By completing the registration form, you agree to the verification and are willing to cooperate in the verification process for its successful completion.
- If the data and information provided by the User cannot be verified, POL&NILE will ask the User by e-mail to provide correct data, and if it does not obtain it within 7 days, it may suspend or terminate the provision of services.
- Changes in registration related to the disclosure of false data provided by the User (understood as the second registration) will take place free of charge during the first 3 months from the date of launching the Website. Correct data will be re-verified.
- If the User does not provide correct data within the period referred to in point 8, POL&NILE may suspend or terminate the verification process.
- After positive completion of verification and registration, the User is created a Company Profile, access to which is possible after logging in to the Website using a password and login.
- If there is a need to use the services offered by POL&NILE, referred to in §1 section 7, the User should make a payment after filling in the form: Ordering the service, to the following bank accounts:
- PL51 1090 2008 0000 0001 5043 2305 – Users with their registered office in the territory of the Republic of Poland, having an account in PLN,
- PL59 1090 2008 0000 0001 5043 2355 – Users with their registered office in the territory of the Republic of Poland, having an account in euro,
- EG170010002300000100063141415 – Users established in the territory of the Arab Republic of Egypt, with an account in euro;
- EG240010002300000100063140998 – Users based in the Arab Republic of Egypt who have an account in Egyptian Pound Sterling currency.
- The bank accounts referred to in point 12 are appropriate for making payments by Polish and Egyptian Users in all activities taking place between POL&NILE and the User, unless the agreement referred to in §1 point 7 provides otherwise.
- In a situation where the User Account or the User’s activity on the Website requires additional verification of data or in the event of a breach of the Terms and Conditions by the User, POL&NILE may:
- make the use of the Website or services provided by POL&NILE dependent on the User’s confirmation of their credibility, including identity, with appropriate documents,
- temporarily restrict access to the Website,
- suspend the User’s Account for a definite or indefinite period of time.
- After the above-mentioned circumstances cease, POL&NILE will lift the above-mentioned restrictions applied to the User.
§5
- A registered User account for 3 months from 01.01.2025 entitles him to place 10 items listed in the MENU tab free of charge: purchase orders, sales offers, special offers (barter, stocks), logistics offers and service offers.
- The placed orders and offers referred to in point 1 should meet the conditions listed in these Terms and Conditions and meet the conditions of other regulations, including laws, regulations, directives related to the posted service or product, prohibited for export or import between the two countries.
§6
- The Agreement between the User and POL&NILE, hereinafter referred to as the Parties, may be concluded:
- in Polish or Polish and English or Polish and Arabic or English and Arabic,
- on-premises, at a distance or off-premises, however, if it is concluded in English or Arabic, it requires translation into Polish by a sworn translator and official confirmation of signatures above PLN 1000 (PLN).
- The Agreement expires on the date on which all periods of provision of services expire, unless it is terminated prematurely, in accordance with the terms of this Agreement or the conditions specified in point 3 of the Terms and Conditions occur.
- The Parties may terminate the agreement referred to in point 1, as well as another agreement that may be concluded between the Parties, in the event of:
- gross breach of the provisions of the agreement by each Party,
- termination of the Party’s business activity,
- reasons known to the Website,
- without giving a reason, however, before terminating the agreement, the Party must notify the Other Party within 14 days before the planned termination of the agreement, as well as incur costs if the Party accepting the order has performed or commenced the performance of the commissioned activity and has incurred financial outlays as a result (e.g. costs of the employee’s working time, official fees, translation fees, printouts, printouts of documents, etc.).
- The activities that are the subject of claims referred to in paragraph 3 must be documented, e.g. by notes from conversations, an electronic record (a screenshot of an image displayed on a computer screen or other electronic device) of activities related to the performance of the order, photocopies of fees, etc.
§7
- POL&NILE may at any time, also without prior notice to the User and without giving a reason, remove any advertisement or offer placed on the Website by the User (texts, photos, signs), if, among other things, the trade in goods is reported by other users as a violation of:
- applicable laws (including any foreign law and EU law that may be applicable in a particular case) or rights of third parties (in particular copyright and other intellectual property rights: music, films, software),
- good morals, norms of freedom and rights of others, public morality and public order, as well as health and life, with regard to respect for the cultures and religions of both nations. The ban applies to goods such as:
- non-original products (so-called “counterfeits”, items infringing industrial property rights),
- explosives, explosives precursors and hazardous chemicals;
- weapons and ammunition,
- narcotics, psychotropic substances, narcotic drugs, cannabis seeds,
- Alcoholic
- tobacco products, electronic cigarettes, liquid/flavouring bases, liquids (also nicotine-free), refill containers and their parts, tobacco heaters and their parts, nicotine pouches,
- erotic gadgets, all forms of pornography, erotic ads, access to erotic/pornographic websites,
- human tissues, including organs, body parts, body fluids and secretions,
- live or dead specimens of animals (as well as their parts or derived products) and plants belonging to protected species,
- all financial instruments offered as a form of investing or investing cash, with the exception of tangible securities with only collector value,
- virtual currencies (including cryptocurrencies such as Bitcoin, Litecoin, Dogecoin, etc.) and services and products related to them,
- information and instructions that are not of a service nature, in particular advice and information such as: “how to make…”, “how to find…”, “how to earn…”, “how to bypass..”,
- access to torrent sites and services related to them,
- Affiliate and loyalty program accounts and services
- databases (including personal data or lists of e-mail addresses):
- stock market investment systems and systems for number games and betting, as well as services related to the provision of assistance in entering into and placing such games,
- second-hand goods that should not be reused for health or hygienic reasons, and second-hand goods that should not be resold for safety reasons (e.g. in the Automotive, Chemical category),
- slot machines (gaming machines), the sale of which is prohibited or restricted by law,
- pepper sprays, stun guns (objects that incapacitate with the use of electricity),
- substances or mixtures classified as hazardous,
- any products not included and not approved for marketing as well as substances or preparations offered as food, cosmetic, pharmaceutical products or products intended for research purposes and used for the above-mentioned purposes, which do not meet the requirements provided for, m.in, in the provisions of food law, pharmaceutical law or contain prohibited substances that may have a potentially harmful effect on health and life.
- It is forbidden to publish and present any content that violates generally accepted ethical, moral or moral norms, in particular calling for or promoting hatred, violence or any form of discrimination, including on the basis of nationality, skin colour, beliefs, religion, worldview, propagating political systems, as well as any content that praises or supports this type of behaviour or systems.
- The User posting the offer declares, by accepting these Terms and Conditions, that:
- has the rights to use all materials contained in its own ads, in particular it concerns: photos, graphic signs, diagrams, drawings and is responsible for their possible improper use,
- is solely responsible for the accuracy of the data and information posted on the Website.
- An Egyptian entrepreneur is obliged to deliver products that meet European and Polish quality and safety standards to the territory of the Republic of Polish.
- A Polish entrepreneur is obliged to deliver products that meet Egyptian quality and safety standards to the Arab Republic of Egypt.
§9
- POL&NILE is not responsible for:
- legal effects arising as a result of the User posting false and outdated data and information regarding products or services or to which the User does not have the right to use,
- temporary difficulties in the use of the Website by the Users, if they result from reasons beyond its control.
- POL&NILE reserves the right to temporarily suspend access to the Website in order to carry out maintenance activities and to modify the scope of services provided.
§10
- The Terms and Conditions may be amended only for a valid reason, in particular due to a change in the applicable legal regulations, a decision of a court or a competent authority.
- In the event of a planned change to the Terms and Conditions, the Administrator of the www.polandnile.pl Portal will publish the changes to the Terms and Conditions and, if necessary, other necessary changes to the documents on the main page of the Platform.
- Information about the change to the Terms and Conditions will be published no later than 14 days before the amended Terms and Conditions are introduced.
- After becoming familiar with the changes referred to in point 2, the portal users may agree or resign from further use of the www.polandnile.pl Website.
- Upon publication of the www.polandnile.pl changes referred to in point 2 on the website, all previous provisions cease to be effective to the extent covered by the changes, and new provisions shall apply in their place, unless the provisions of the amended Terms and Conditions provide otherwise.
§11
All deliveries and correspondence between POL&NILE and the Users take place by e-mail and are effective within the meaning of these Terms and Conditions, if they were made to the e-mail address indicated by the User during registration.
§12
Matters not regulated in these Terms and Conditions shall be governed by the relevant provisions of Polish law – the Civil Code and other applicable acts.
§13
Protection of the Service Provider’s rights
- All rights to the Website and the Service, including economic and non-economic copyrights, are vested in POL&NILE.
- The use of databases made available on the Website or website does not mean that the User acquires any rights to them.
- Without the written consent of POL&NILE, to the extent that it is not necessary for the ordinary use of the Website or Service, it is prohibited in particular to:
- copying, modifying and transmitting, electronically or in any other way, the Website, the Website or its parts, as well as individual advertisements and databases made available on its pages;
- disseminate, make available to third parties, including publishing or using, free of charge or for a fee (for further resale), in any manner and form, advertisements contained on the Website and on the Website.
- In the event of the User violating at least one of the prohibitions described in section 3, POL&NILE may demand payment of a contractual penalty in the amount of PLN 50,000.00 (in words: fifty thousand zlotys) from the User.
- Charging the User with the payment of the contractual penalty does not exclude the possibility of re-demanding payment of the contractual penalty described in section 4 from the User in the event of another breach by the User of one of the prohibitions described in section 3.
§14
Any potential disputes arising from the provisions of these Terms and Conditions shall be settled by the court having jurisdiction over the registered office of POL&NILE, on the basis of the provisions of Polish law.
§15
These Terms and Conditions shall enter into force on 1 January 2025.
